The terms your institution agrees to.

1. Acceptance of Terms

By accessing or using EduxenOS ("the Platform"), operated by Technical Ventures & Management ("TVM"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

2. Description of Service

EduxenOS is a multi-tenant education management platform with 38 modules organized across 7 domain categories. The Platform is available via web (eduxen.com) and mobile applications, and provides institutions with comprehensive tools including:

• Academic Operations — classes, timetables, exams, report cards, certificates, NEP 2020 compliance
• Student Lifecycle — admissions CRM, enrollment, attendance, promotion, alumni tracking
• Finance & Accounts — fee collection, invoicing, online payments (Razorpay), ledger, expense tracking
• Human Resources (HRMS) — staff management, leave tracking, payroll, biometric attendance
• Infrastructure — Library & Knowledge Resources (LKRMS), Hostel & Residential Management, Transport & Fleet Management (TFMS)
• Communication — Unified Communication & Notification Engine (UCNE) for email, SMS, WhatsApp, and push notifications
• Institutional Intelligence — AI analytics, predictive insights, automated report generation, institutional websites

3. User Accounts

• Accounts are created by institution administrators for their staff, students, and parents
• You are responsible for maintaining the confidentiality of your login credentials
• You must notify your institution administrator immediately of any unauthorized account use
• One person may not maintain multiple accounts unless authorized by the institution

4. Subscription & Payments

• EduxenOS operates on a subscription model with monthly/annual billing
• Institutions select a plan based on their student count and feature requirements
• Payments are processed through Razorpay; we do not store credit card information
• Subscription fees are non-refundable except as described in our Refund Policy
• We reserve the right to modify pricing with 30 days' advance notice

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to other accounts or institution data
• Upload malicious code, viruses, or harmful content
• Scrape, data-mine, or reverse-engineer any part of the Platform
• Share login credentials or allow unauthorized access to the Platform
• Use the Platform to send spam, phishing messages, or unsolicited communications

6. Data Ownership

• Institutions retain ownership of all data they upload or create on the Platform
• TVM has a limited license to process this data solely for providing the service
• Upon account termination, institutions may request a data export within 90 days

7. Transport GPS Data

• GPS location data is collected from fleet vehicles solely for real-time tracking, route optimization, and student safety purposes
• GPS data is retained for up to 12 months and then automatically purged unless longer retention is required by the institution or by law
• Institutions are responsible for informing drivers and transport staff that GPS tracking is active during duty hours
• GPS data is not shared with any third party except as required for Platform functionality or legal compliance

8. Hostel Gate Entry/Exit Data

• Entry and exit timestamps are logged for hostel residents and visitors for security and accountability purposes
• Visitor records (name, contact, purpose, check-in/check-out) are maintained by the institution and accessible to authorized hostel administrators
• Gate log data is retained for the duration of the institution's active subscription plus the 90-day post-termination period

9. Notification & Communication Data

• The Unified Communication & Notification Engine (UCNE) delivers messages via email, SMS, WhatsApp, and push notifications on behalf of the institution
• Delivery logs (sent, delivered, read status) are retained for audit and troubleshooting purposes
• Users may update their communication preferences and opt out of non-essential notifications through their profile settings
• Message content is owned by the institution; TVM processes it solely for delivery purposes

10. Intellectual Property

The EduxenOS platform, including its design, code, logos, and documentation, is the intellectual property of Technical Ventures & Management. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during your active subscription.

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

12. Limitation of Liability

To the maximum extent permitted by law, TVM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of the Platform.

13. Termination

• Institutions may cancel their subscription at any time; access continues until the billing period ends
• We may suspend or terminate accounts that violate these Terms
• Upon termination, data is retained for 90 days before permanent deletion

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
